Professional Conduct Committee

The Professional Conduct Committee insures implementation of the Code of Integrity and Professional Conduct within the Group and advises management on all issues of business ethics. It also approves agreements for the procurement on development of business opportunities with intermediaries.

The professional Conduct Committee consists of four members:

Chief Compliance Officer: O. Merkt     

Role:

  • oversees the implementation of, and compliance with, the Code and issues policies and guidelines where appropriate
  • reviews reports received from the Chief Compliance Officer and information on corrective and disciplinary measures following a violation of the Code
  • decides on requests for clearance for :
    • agreements with joint venture partners, agents or intermediaries
    • gifts, hospitality and entertainment, charitable contributions or sponsorships and contributions to political parties or their representatives
    • appointments of an Employee as director, officer or executive or any similar managerial position outside the SGS Group
  • discusses and agree on the proposed assurance review scope of the effectiveness of the implementation of the Code by the Group financial auditors.

Meetings:
The Professional Conduct Committee meets as often as required but at least twice a year. Senior Managers concerned by a specific agenda item and the Head of Internal Audit attend its meetings.
